Communication with clients and prospects (disclosures, advertising, client contracts, social media, internet communications)

Free NASAA Series 66 (Uniform Combined State Law Examination) lesson in Laws, Regulations, and Guidelines. 29 min read, ~4,312 words.

A recommendation can describe an investment accurately and still mislead a client by hiding your compensation. Communication rules govern both what you say and what you leave out.

Before recommending a security, identify your role. An investment adviser provides investment advice for compensation. A broker-dealer conducts securities transactions for customers or its own account; an agent represents that firm. Your role determines which disclosure and advertising rules apply.

Product disclosures help customers understand what they might lose and what they must pay. A material fact is information important to an investment decision. Under Financial Industry Regulatory Authority (FINRA) Rule 2210, communications must fairly explain material risks and costs and avoid misleading omissions. Highlighting income while hiding possible principal losses fails that standard.

When comparing investments, explain material differences in liquidity, guarantees, expenses and tax treatment. Liquidity means how readily an investment can become cash without a substantial price concession. Two products offering similar income may have very different withdrawal restrictions. A comparison that ignores those restrictions can mislead even when both income figures are correct.

Common mistakes

Bottom line

Exam shortcut

Start by marking the professional's role and the governing jurisdiction. Then identify whether the question concerns advice, a recommendation, contracting, transaction completion or advertising. Circle threshold words: less than, more than, at least and earliest. Exact-boundary answers often turn entirely on those words. For advertising, check audience, compensation, performance presentation and supervision in that order. A correct return calculation cannot cure omitted disclosures.
